1. Acceptance of Terms

By installing, accessing, or using the Speks application (the "App") provided by Speks AI, Inc. ("we", "us", or "our"), you ("Merchant" or "you") agree to be bound by these Terms of Service. If you do not agree, do not use the App.

2. Description of the App

Speks is an AI-powered shopping assistant for Shopify stores. It provides automated product recommendations, customer support chat, order lookup, and analytics through an embeddable widget on your storefront and a merchant dashboard.

3. Account and Access

• You must have an active Shopify store to use the App.
• You are responsible for maintaining the security of your Shopify account and any credentials used to access the App.
• You agree to provide accurate information during setup and to keep it current.

4. Permitted Use

You may use the App solely for legitimate business purposes on your Shopify store. You agree not to:

• Reverse-engineer, decompile, or disassemble any part of the App.
• Use the App to distribute malicious content, spam, or misleading information.
• Exceed the usage limits of your subscription plan or circumvent billing.
• Resell, sublicense, or provide access to the App to third parties without our consent.

5. Subscription and Billing

The App offers subscription plans managed through Shopify's billing system. By selecting a paid plan, you authorize Shopify to charge the applicable fees to your Shopify account. Plan details, pricing, and trial periods are described on the plan selection page within the Shopify admin.

We may change pricing with reasonable notice. Downgrades take effect at the end of the current billing cycle. Refunds are handled in accordance with Shopify's billing policies.

6. Data and Privacy

Our collection and use of data is governed by our Privacy Policy. By using the App, you consent to the data practices described therein. You are responsible for ensuring your use of the App complies with applicable data protection laws in your jurisdiction.

7. Intellectual Property

All rights, title, and interest in the App — including its code, design, trademarks, and documentation — remain the property of Speks AI, Inc.. These Terms do not grant you any ownership rights. Content you provide (product data, chat configurations) remains yours.

8. AI-Generated Content

The App uses artificial intelligence to generate responses for your store's customers. While we strive for accuracy, AI-generated responses may occasionally be incorrect, incomplete, or unsuitable. You acknowledge that:

• AI responses are provided "as is" without guarantees of accuracy.
• You are responsible for reviewing and configuring the assistant's behavior.
• We are not liable for purchasing decisions made by your customers based on AI responses.

9. Availability and Support

We aim to keep the App available at all times but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. For support, contact us at support@speks.ai.

10. Limitation of Liability

To the maximum extent permitted by law, Speks AI, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from or related to your use of the App. Our total liability shall not exceed the fees you paid to us in the twelve months preceding the claim.

11. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

You may stop using the App at any time by uninstalling it from your Shopify store. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the App ceases and we may delete your data in accordance with our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice. Continued use of the App after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Speks AI, Inc. is incorporated, without regard to conflict-of-law principles.
